Terms of Service

These Terms of Service ("Terms") govern your use of the ComBeat platform and website at combeat.io (the "Service"), operated by Xpectrum Ltd. (trading as Quematics, "we", "us", "our"), a private limited company incorporated in England and Wales.

1. Acceptance

By accessing combeat.io, joining our waitlist, or — upon launch — creating an account or subscribing, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

ComBeat is a subscription Software-as-a-Service ("SaaS") platform providing Forward Intelligence to small and medium enterprises: competitive intelligence, brand intelligence, customer intelligence, market intelligence, and execution capabilities through connected third-party tools.

3. Pre-launch Waitlist

ComBeat is currently in private beta. The Service is not yet available for public subscription. By joining our waitlist, you provide your email address to receive launch updates and the opportunity to access the Service when it becomes publicly available at launch.

We do not currently collect payment information through the Service. No subscription contract is formed by joining the waitlist.

4. Subscription Terms (Effective at Launch)

When the Service launches, the following subscription terms will apply:

Plans and Pricing. Subscription plans, pricing, and features are published at combeat.io/pricing. Pricing is in GBP, USD, AUD, or CAD depending on your billing region.

Trial. New subscribers receive a 14-day free trial. No card is required to start the trial. The trial converts to a paid subscription only if you provide a payment method and explicitly start your subscription before the trial ends.

Billing. Subscriptions are billed monthly or annually in advance via a regulated payment processor. Annual plans save 25% or more over monthly equivalents.

Cancellation. You may cancel your subscription at any time through the customer portal. See our Refund Policy for refund terms.

Execution Credits. In addition to subscription, the Service uses execution credits to meter work the engine ships through your connected tools. Credits are consumed only when execution is approved by you. Intelligence delivery (Briefs, Moves, dashboard) is unmetered and never paused for credit exhaustion. Detailed credit terms are published at combeat.io/pricing.

5. Acceptable Use

You agree not to:

• Use the Service to violate any law, regulation, or third-party right
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Access the Service to build a competing product
• Submit false or impersonating information
• Use the Service to scrape, harvest, or otherwise collect data from third parties in violation of those parties' terms or applicable law

6. Intellectual Property

All content, code, models, and proprietary methods comprising the Service are the intellectual property of Xpectrum Ltd. Content you submit to the Service remains yours; you grant us a limited licence to process it solely to deliver the Service to you.

7. Recommendations and Outcomes Disclaimer

ComBeat provides Forward Intelligence: ranked Moves, Forward Briefs, strategic analysis. These are recommendations, not guarantees. Outcomes depend on factors beyond our control (your execution, market conditions, your customers, your competitors, third-party platform behaviour, regulatory changes).

We do not warrant any specific business outcome. You retain full responsibility for decisions you make based on ComBeat's recommendations and for actions you approve for execution.

8. Connected Tools and Third Parties

The Service connects to your own accounts on third-party platforms (e.g., Google Business Profile, social platforms, advertising platforms, CRMs) only with your explicit authorisation, and writes only to accounts you own. We are not responsible for outages, policy changes, or actions of third-party platforms.

9. Privacy and Data

Your use of the Service is also governed by our Privacy Policy at combeat.io/privacy and our Cookie Policy at combeat.io/cookies. Data is processed in the United Kingdom and European Economic Area.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or in connection with the Service, in contract, tort, or otherwise, is limited to the amount you paid us in the 12 months preceding the claim. We exclude liability for indirect, consequential, or special damages, including lost profits, lost data, or lost business opportunity.

Nothing in these Terms limits liability that cannot be limited under English law (including liability for death or personal injury caused by negligence, or for fraud).

11. Termination

We may suspend or terminate your access if you breach these Terms or use the Service in a way that creates risk for us, other customers, or the Service's integrity. You may terminate by cancelling your subscription at any time.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email to subscribers and via a prominent notice on combeat.io at least 30 days before taking effect.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales.
